Mainland China Addendum

Scope
This Mainland China Addendum (“Addendum”) describes how Clarivate and its affiliates in China (as listed in “Definitions” below, collectively, “we”, “us”, or “our”) Process (such as collecting, storing, using, sharing, disclosing and deleting) your Personal Information.
This Addendum applies to Personal Information collected by us in Clarivate’s websites, apps, products and services (collectively “services”) and in the course of routine offline business contact with you in the case that we constitute the Personal Information Processor under Applicable Legal Requirements of mainland China. This Addendum is addressed primarily to our customer representatives, service users (including visitors to our sites and trial users), supplier representatives, research participants and sales prospects, and it also applies to individuals whose Personal Information is processed as part of our services.
Terms in this Addendum are set out in addition to and from an integral part of the terms of the Corporate Privacy Notice (“Notice”). In the event of any conflict or inconsistency between the Notice and this Addendum, the terms of this Addendum shall govern and prevail.
Definitions
In this Addendum, the following definitions shall apply:
Applicable Legal Requirements. This Addendum is formulated in accordance with the Applicable Legal Requirements in mainland China, including the Personal Information Protection Law, Data Security Law, Civil Code, Cybersecurity Law, and other relevant laws, regulations, regulatory requirements and national standards.
Personal Information. It refers to all kinds of information, recorded electronically or by other means, relating to an identified or identifiable natural person, excluding information that has been anonymized.
Sensitive Personal Information. It refers to Personal Information that, once leaked or illegally used, may easily cause infringement upon the human dignity or harm to the personal or property safety of a natural person, including biometric recognition, religious belief, specific identity, medical and health, financial account, personal whereabouts and other information of a natural person, as well as the Personal Information of minors under the age of 14.
Personal Information Subject. It refers to the natural person associated with or identified by Personal Information, and in this Addendum, refers to the customers, users and any other individuals linked with Clarivate’s products, services and business operation.
Process/Processing. It refers to the collection, storage, use, processing, transmission, provision, disclosure, deletion and etc. of Personal Information.
Personal Information Processor. It refers to an organization or individual that, in the activities of Processing of Personal Information, independently determines the purpose and method of Processing.
Clarivate and its affiliates in China. See Appendix 1, subject to updates based on developments and changes in our services from time to time.
Except as otherwise defined above, definitions set out in the Notice and its exhibits apply to this Addendum.
Why we process your personal information
Generally, we will process your Personal Information on the lawful basis stated in the Notice, such as to perform our contractual obligations to you, perform our legal duty, or other basis provided under the Applicable Legal Requirements.
Sensitive personal information
Sensitive Personal Information refers to the Personal Information that, once leaked or illegally used, may easily cause infringement upon the human dignity or harm to the personal or property safety of a natural person.
For achieving the purposes specified in the Notice, we may collect certain types of Sensitive Personal Information only when permitted or required by Applicable Legal Requirements, such as:
- Financial information (e.g., payment information and related bank details, etc.), for the fulfillment of your order of our services and products;
- Sensory data (e.g., photographs, audio, video or other similar electronic recordings, etc.),
- to create author profiles
- when conducting certain interviews or meetings (e.g., Product Advisory Groups, etc.)
- to participate in promotional activities related to our products and services (with prior consent)
- for fraud and screening prevention
Our Processing of your Sensitive Personal Information will strictly comply with Applicable Legal Requirements, including the enhanced protection measures and the separate consent you give us to such processing.
Sharing of Personal Information
In principle, we may only provide the processed Personal Information to third parties where it is necessary for our business needs in accordance with the Applicable Legal Requirements and subject to appropriate safeguards, for the processing purposes as follows:
- Employees and contractors of the Clarivate group whose roles require access to your Personal Information. Our personnel are bound to confidentiality terms which cover their obligations to protect Personal Information.
- The account administrator(s) or the organization providing you access to our services, in the case of corporate subscriptions.
- Business partners with whom we deliver co-branded services or host events; or whose content or technology we make available through our services.
- Subscribers & members. If your Personal Information is collected from public sources for inclusion in our product databases and any personal data you choose to provide to us for display in our services (for example, in profiles and when using online forums), your Personal Information may be accessed by users of our services. Additionally, if you or your organization register for one of our membership-based communities or products, we may make information about you (including contact and institutional information) available to other members through online and offline services.
- Other third parties you have asked us to share information with or where you have provided us your consent, e.g., if you upload information into a public platform or forum that is publicly accessible, certain research related disclosures to sponsors of the research project.
For those circumstances, we will provide you with the name and contact details of the recipient of your Personal Information, the specific purpose and manner of processing, and the types of Personal Information involved and obtain your consent at the time we collect your personal information, you can also contact us via contact information stated in this Addendum for more details about the transfer unless otherwise prescribed by law.
Transferring your personal information internationally
Clarivate is a global business and may transfer your Personal Information to overseas Clarivate entities, as listed in Appendix 1, which are located in countries and regions with different privacy and data protection laws than mainland China. The personal information will be stored in United States and Ireland after being transferred outside of mainland China. Such international transfers are allowed only for our business needs and subject to certain conditions under Applicable Legal Requirements. In such cases, we will perform relevant obligations with respect to cross-border transfer of Personal Information and do our best to make the transfers in compliance with the Applicable Legal Requirements.

If you want to exercise your rights related to your Personal Information to Clarivate affiliates located outside mainland China, please submit your request by completing this webform. You can also contact us by emailing data.privacy@clarivate.com if you would like more information about cross-border transfers in relation to other overseas recipients.
Your rights over your personal information
You have the following rights as the Personal Information Subject under the Applicable Legal Requirements:
- access their Personal Information and request a copy of their Personal Information;
- request for the transfer of their Personal Information to a third party;
- have their Personal Information corrected or deleted;
- restrict or object to certain Processing of their Personal Information;
- withdraw the consent that has been given; and
- request for an explanation on the privacy Notice and other personal information processing rules of Clarivate.
The close relative of the deceased Personal Information Subject may, for own lawful and legitimate rights and interests, have the right to consult, duplicate, correct and delete the relevant Personal Information of the deceased in accordance with the Applicable Legal Requirements, if the deceased does not have otherwise arrangements before death.
These rights may be subject to certain exceptions, and we are only required to honor rights to the extent that they have been granted to you and apply to you under Applicable Legal Requirements. You can exercise your rights by submitting a request through this webform.
Processing personal information about children
Personal Information of children under the age of 14 are specially protected under Applicable Legal Requirements. If you find that we accidentally collect Personal Information of your children under the age of 14, please contact us via contact information stated in this Addendum to request us to delete or express consent to our collection of Personal Information of your children.
How you will know if we make changes to this Addendum
We reserve the right to update this Addendum at any time as needed to reflect changes in Applicable Legal Requirements and Clarivate practices. In the event of material changes to the Addendum that significantly affects how we process your Personal Information, we will communicate to you regarding the changes and/or obtain your consent again in an appropriate manner.
